Welcome to Reppls. Our mission is to connect professionals worldwide to help them be more productive and successful. These Commercial Terms of Service ("Terms") govern the access to and use of Reppls' services by commercial entities and corporate customers ("Customer"), including our website, apps, AI recruitment tools, and other offerings (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Acceptance of Terms
By clicking "Join Now," "Sign Up," or similar, or by accessing or using our Services, you agree to enter into a legally binding contract with Reppls. If you do not agree to these Terms, do not access or use our Services.
2. Eligibility
To use our Services, you must:
- Be at least 16 years old or the minimum legal age in your country.
- Have the legal capacity to enter into a binding agreement.
- Have the authority to bind the commercial entity (Customer) to these Terms.
- Not be prohibited from using our Services under applicable laws.
3. Account Registration
3.1 Creating an Account
To access certain features of our Services, you must create an account by providing accurate and complete information, including your real name and a valid email address.
3.2 Account Security
You are responsible for safeguarding your account by using a strong password and limiting access to your account. You agree to notify us immediately of any unauthorized use of your account.
4. User Obligations
4.1 Compliance with Laws and Policies
You agree to:
- Comply with all applicable laws and regulations (including GDPR, CCPA, and EEOC regulations regarding candidate data).
- Follow our Privacy Policy.
4.2 Accurate Information
You agree to provide truthful and accurate information and keep it updated.
4.3 Commercial Data Usage
Unlike our standard public user terms, Customer retains full ownership of the data provided. When you upload candidate data, resumes, or video interviews to our Services ("Customer Data"), you grant Reppls a non-exclusive, worldwide license solely to use, copy, and process the information as necessary to provide the Services to you. We do not claim ownership of your content.
4.4 External Sharing and Shared Links
The Service may allow Authorized Users to generate unique, time-limited URLs ("Shared Links") to grant third parties temporary access to specific Customer Data (e.g., a candidate's CV or interview video).
- Customer Responsibility: Customer acknowledges that anyone with access to a Shared Link may view the associated content without logging in. Customer is solely responsible for the distribution, security, and revocation of these links.
- Liability: Reppls shall not be liable for any unauthorized access to Customer Data resulting from Customer's voluntary distribution of Shared Links.
5. Rights and Limits
5.1 Data Ownership and AI Training (No Model Training)
You own the content and information you submit or post on our Services.
- No Model Training: Reppls represents and warrants that Customer Data (including candidate CVs, video interview recordings, and transcripts) will NOT be used to train, fine-tune, or improve Reppls' artificial intelligence models, Large Language Models (LLMs), or algorithms for the benefit of other customers or third parties. Your data is isolated and used strictly to generate outputs for your specific account.
5.2 Service Availability
We may change, suspend, or discontinue any of our Services at any time without notice.
5.3 Third-Party Content and Services
Our Services may include content or links to third-party websites or services. Reppls is not responsible for such content or services.
6. Disclaimer and Limitation of Liability
6.1 No Warranty
Our Services are provided "as is" and "as available." Reppls makes no warranties or representations regarding the reliability, accuracy, or suitability of the Services.
6.2 Limitation of Liability
To the maximum extent permitted by law, Reppls shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. For Commercial Customers, Reppls' total liability shall not exceed the amount paid by Customer to Reppls in the twelve (12) months preceding the claim.
7. Termination
7.1 By You
You may terminate this agreement at any time by closing your account and discontinuing the use of our Services.
7.2 By Reppls
We may suspend or terminate your account or cease providing you with all or part of our Services if we believe you have violated these Terms or applicable laws.
8. General Terms
8.1 Entire Agreement
These Terms constitute the entire agreement between you and Reppls concerning the use of our Services.
8.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
8.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
8.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
9. Prohibited Activities
9.1 User Conduct
You agree not to:
- Create a false identity or misrepresent your affiliations.
- Harass, abuse, or harm another person.
- Use our Services for any illegal or unauthorized purpose.
9.2 Content Restrictions
You agree not to post content that:
- Infringes any third-party rights.
- Contains viruses or malicious code.
- Is defamatory, obscene, or otherwise objectionable.

12. Confidentiality
12.1 Definition
"Confidential Information" means non-public information disclosed by Customer to Reppls, including Candidate Data and interview records.
12.2 Obligation
Reppls agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose such information to any third parties (except trusted sub-processors bound by similar confidentiality duties); and (c) use such information solely for the purpose of providing the Services.
12.3 Exceptions
Confidential Information shall not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was known to the receiving party prior to its disclosure; or (c) is voluntarily disclosed by Customer to third parties via the Service's "Shared Link" or similar external sharing features.
